These Terms of Service ("Terms") are a legal agreement between you and TigerPoint Technologies LLC, a New York limited liability company based in Brooklyn, NY, United States. They govern your access to and use of HolyCode Cloud.
How you accept these Terms. You accept these Terms at checkout. Our payment processor (Stripe) presents a required terms-of-service consent checkbox that links to these Terms at https://holycode.cloud/terms (which in turn links our Refund Policy, Acceptable Use Policy, and Privacy Policy), and Stripe records your timestamped acceptance. By checking that box, subscribing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
HolyCode Cloud is an early-access product. Please read the availability disclaimer in Section 8 carefully.
1. What HolyCode Cloud Is
HolyCode Cloud is a hosted, persistent, always-available cloud coding workstation — a full Linux machine in the cloud that you can reach from anywhere through a browser or SSH. Your workstation is always available and wakes from idle in about one second; to save resources it may suspend when idle and resume when you return (see Section 8). It comes preloaded with popular AI coding agents (including Claude Code, Codex, OpenCode, and Gemini), 50+ developer tools, and browser-automation tooling. You use your workstation to write, run, and manage code and related work.
HolyCode Cloud is harness-agnostic: it runs whichever AI coding agent you choose. We do not favor or require any one of them.
We are not an AI model provider. HolyCode Cloud does not include, sell, or resell access to any AI model or AI tokens. To use an AI coding agent on your workstation, you bring your own API key or subscription from a provider such as Anthropic, OpenAI, or Google. See Section 6 (Bring Your Own Key).
2. Eligibility and Accounts
US customers only during early access. The Service is offered to customers located in the United States only during early access. Checkout is country-restricted to the United States, and you confirm you are a US-based customer when you subscribe.
To use the Service you must be at least 18 years old and able to enter a binding contract. If you use the Service for an organization, you confirm you are authorized to accept these Terms on its behalf.
You are responsible for:
- The information you give us being accurate and current.
- Keeping your workstation credentials and any keys you store on it secure.
- All activity that happens under your account or on your workstation, whether or not you authorized it.
Tell us promptly at support@holycode.cloud if you believe your account or workstation has been accessed without your permission.
3. Plans
We offer the following individual monthly subscription plans. Plans differ by CPU, RAM, storage, bandwidth, backup retention, and support level:

Team plans are available by concierge arrangement only, under a separate signed agreement that is not yet available during early access. Teams cannot self-checkout for a team plan. Contact us at support@holycode.cloud if you are interested; team access begins only once a separate written agreement is in place.
4. Subscription, Billing, and Taxes
- Monthly, recurring. Subscriptions are billed monthly in advance through our payment processor (Stripe). Your subscription automatically renews each month at the then-current price for your plan until you cancel. Annual billing is not offered during early access.
- Recurring terms disclosed at checkout. Before you pay, checkout discloses the recurring terms in plain language — for example, "$X/mo, auto-renews monthly until you cancel, cancel anytime."
- Payment. You authorize us (and our payment processor) to charge your payment method for each renewal. If a charge fails, we may retry it and may suspend or terminate the Service as described in Section 11.
- Cancellation. You can cancel at any time. The primary, always-available way to cancel is self-serve through the Stripe Customer Portal, reachable from your billing account; cancelling stops your next renewal. If you have trouble, you may also email support@holycode.cloud as a fallback. Except as required by the Refund Policy (Section 7), cancelling does not refund the current billing period, and you keep access until the end of the period you already paid for.
- Price changes. We may change plan prices. We will give you at least 30 days' advance notice before a price change takes effect on your next renewal. A change never applies to a period you have already paid for. If you do not accept the new price, cancel before your next renewal.
- Taxes. Prices do not include taxes. You are responsible for any applicable US state or local sales or use taxes on your subscription, except taxes on our net income. If we are required to collect tax, we will add it to your charge.
- No free trial. We do not offer a free trial. Instead, we offer a 7-day money-back guarantee (Section 7).
5. Provisioning — Workspace Ready Within 24 Hours
During early access, we set up each workstation by hand (concierge provisioning).
We aim to deliver your workspace within 24 hours after (a) your payment settles and (b) you have given us any setup details we need. If we have not delivered by then and you do not want to keep waiting, you get a full refund.
For this purpose, "delivered" means a welcome email containing a working workspace URL has been sent to you. The 24-hour clock runs from successful payment settlement, which we measure by Stripe's invoice.paid confirmation (not from checkout completion). Refund handling is described in our Refund Policy at https://holycode.cloud and summarized in Section 7.
6. Bring Your Own Key (BYOK) — Your AI Provider Relationship
HolyCode Cloud runs AI coding agents but does not supply the AI. To use them, you provide your own API key or subscription from your chosen AI provider (for example, Anthropic, OpenAI, or Google). You agree that:
- You own the AI relationship. Your use of any AI provider is governed by that provider's own terms, and you are responsible for complying with them, including any restrictions on automated or agentic use and on running on third-party infrastructure. TigerPoint is not a party to that relationship.
- You warrant your right to use the key. You represent that you are authorized to use the API key or subscription you provide (for example, that it is yours to use and not misused from an employer or other party). You accept that your AI provider — not TigerPoint — may throttle, suspend, or revoke your key or subscription, and we are not responsible if it does.
- You pay for your own AI usage. All costs from your AI provider — tokens, requests, subscription fees, overages — are billed to you by that provider, separately from your HolyCode Cloud subscription. We never resell AI usage and are not responsible for those charges.
- Your keys stay on your workstation. Keys and credentials you add live on your own workstation's disk. We do not upload or centrally store your keys, and we do not access them in the normal course of operating the service. Keeping them secure and deciding what to run with them is your responsibility.
- Your responsibility for what you build. You are responsible for the prompts you send, the code and content your AI agents produce, and how you use it, including compliance with your AI provider's acceptable-use rules.
7. Refunds and Money-Back Guarantee
We offer a 7-day money-back guarantee: if you are not satisfied, you may request a full refund of your initial subscription payment within 7 days of the delivery date (the date we send your "your workspace is ready" welcome email). This guarantee is limited to one refund per customer and applies to your first subscription term only, not to renewals. You also qualify for a full refund if we fail to deliver your workstation as described in Section 5.
Full details, conditions, and how to request a refund are in our Refund Policy at https://holycode.cloud, which is incorporated into these Terms. If there is a conflict between this section and the Refund Policy, the Refund Policy controls.
8. Service Availability — Early Access, No Uptime Guarantee
HolyCode Cloud is offered as an early-access product. Workstations run on third-party cloud infrastructure (currently Fly.io), which has experienced outages and reliability incidents outside our control.
We do not promise any specific uptime, availability, or performance, and we do not offer a service-level agreement (SLA). The Service may be unavailable, interrupted, delayed, or degraded at any time, including for maintenance, provider outages, resource limits, or reasons we cannot foresee. Your workstation may also suspend when idle and resume when you return (waking in about one second); this is normal behavior, not a defect.
Backups are best-effort and are not guaranteed to be recoverable (see Section 10). You should keep your own copies of anything important and not rely on the Service as your only place to store critical work.
9. Acceptable Use and Fair Use
Your use of the Service is governed by our Acceptable Use Policy (AUP) at https://holycode.cloud, which is part of these Terms. In short:
- Fair use. Normal, interactive coding use — including overnight and unattended agent runs — is unlimited within the CPU, RAM, and disk your plan provides; those resources are physically capped by your plan. To prevent abuse, each plan includes a fair-use bandwidth (network egress) allowance, published as the fair-use schedule inside the AUP. That schedule is the single, authoritative place the per-tier egress allowances are published.
- Prohibited use. You may not use the Service for cryptocurrency mining, mass scraping, torrent/seedbox or file-distribution hubs, sending spam, hosting or distributing illegal or infringing content, or any activity that is unlawful, abusive, or designed to overload or evade the fair-use limits. The full list is in the AUP.
If your usage repeatedly exceeds the fair-use schedule or violates the AUP, we may contact you, throttle, ask you to upgrade, suspend, or terminate the Service as described in Section 11.
10. Your Data
- You own your content. You own the code, files, and other content you create or store on your workstation ("Your Content"). We do not claim ownership of it.
- Why we store it. To run the Service, we store the email address you sign up with and Your Content on persistent storage, and we create backups. We access Your Content only as needed to provide, maintain, secure, and support the Service, or as required by law.
- Backups. Backups are best-effort and are retained per tier (ranging from 7 to 90 days). Backups are a convenience, not a guarantee of recoverability — see the availability disclaimer in Section 8.
- Export and deletion on cancellation. After your subscription ends, you have a 7-day window to export Your Content. After that window, we initiate deletion of your workstation and its data and force-purge your backups early, overriding the normal per-tier retention window. Residual copies that may remain in our providers' systems (for example, snapshots or logs) purge on their normal rolling cycle, generally within up to 30 days. Export anything you want to keep during the window, because after it we begin permanent deletion.
- Data-breach notification. If we learn that Your Content has been materially compromised in a security incident, we will notify affected customers without undue delay.
- Separate systems. Our public waitlist and related sign-up systems are separate from the Service and are not covered by these Terms.
- Privacy. Our handling of personal information is described in our Privacy Policy at https://holycode.cloud.
11. Suspension and Termination
- By you. You may cancel at any time as described in Section 4.
- By us. We may suspend or terminate your access, with or without notice, if you violate these Terms or the AUP, fail to pay, create a security or legal risk, or misuse the Service. Where practical and appropriate, we will give you notice and a chance to fix the problem first.
- Chargebacks. If you have a billing concern, please contact us first at support@holycode.cloud. Filing a chargeback for a service we have already delivered and that is outside the money-back window (Section 7) is a breach of these Terms. In that case we may suspend your workstation pending resolution of the dispute and may terminate your access and delete your data.
- Effect. On termination, your right to use the Service ends. Except where a violation makes it unsafe or unlawful to do so, we will honor the 7-day export window in Section 10 before deleting your data. Sections that by their nature should survive termination (including Sections 6, 8, 10, 12, 13, 14, 15, 18, 19, 20, and 22) will survive.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR THAT DATA WILL NOT BE LOST.
We are not responsible for the AI agents, models, or third-party tools you run on your workstation, or for the output they produce. You are responsible for reviewing and testing anything you build or deploy using the Service.
13. Limitation of Liability
TO THE FULLEST EXTENT ALLOWED BY LAW:
- WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST REVENUE, OR BUSINESS INTERRUPTION, EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE.
- OUR TOTAL LIABILITY FOR ANY AND ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE TOTAL FEES YOU ACTUALLY PAID US FOR HOLYCODE CLOUD IN THE THREE (3) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM.
- THE REFUND REMEDIES IN SECTION 7 (AND SECTION 5) ARE YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY FAILURE OF THE SERVICE.
Savings clause. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law (for example, liability for fraud or willful injury). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
14. Your Responsibility (Indemnification)
You agree to defend and hold TigerPoint harmless from claims, losses, and reasonable costs arising out of Your Content, your use of AI agents and keys under BYOK, your violation of these Terms or the AUP, or your violation of any law or third-party right. We may take over the defense of any such claim, and you agree to cooperate.
15. Export Control and Sanctions
You represent and warrant that you are not located in, and are not a resident or national of, any country or region subject to US embargo or comprehensive sanctions, and that you are not on any US government denied-, restricted-, or blocked-parties list. You agree to comply with all applicable US export-control and sanctions laws in your use of the Service, and not to use the Service for any purpose prohibited by those laws. We may block, suspend, or terminate access we reasonably believe would violate these laws.
16. Copyright and DMCA
We respect intellectual-property rights and expect you to do the same. Our full copyright and DMCA notice-and-takedown procedure — including how to submit a takedown notice, how to submit a counter-notice, and our repeat-infringer termination policy — is set out in the Acceptable Use Policy at https://holycode.cloud.
To report content you believe infringes your copyright, contact our designated agent at support@holycode.cloud (or dmca@ at our domain) with the information required by the Digital Millennium Copyright Act. We will terminate the accounts of repeat infringers in appropriate circumstances.
17. Force Majeure
We are not liable for any failure or delay in performing (including any failure to provision within 24 hours or to keep the Service available) that is caused by events beyond our reasonable control, including third-party provider outages (for example, our infrastructure, payment, or email providers), internet or network failures, natural disasters, war, civil unrest, labor disputes, or government action. In such cases, your remedy for a provisioning failure is the refund described in Sections 5 and 7, not liability.
18. Binding Arbitration; Class-Action and Jury-Trial Waiver
Please read this section carefully — it affects how disputes between you and us are resolved.
- Binding arbitration. Except as noted below, you and TigerPoint agree that any dispute relating to these Terms or the Service will be resolved by final and binding individual arbitration, not in court. This agreement to arbitrate is mutual — it applies equally to you and to us.
- Class-action waiver. You and TigerPoint agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, or representative action.
- Jury-trial waiver. To the extent any dispute proceeds in court, you and TigerPoint each waive any right to a jury trial.
- Small-claims carve-out. Either party may bring an individual claim in small-claims court if it qualifies, instead of arbitration.
- 30-day opt-out. You may opt out of this arbitration and class-action-waiver section by emailing support@holycode.cloud within 30 days of first accepting these Terms. If you opt out, disputes proceed under Section 19 instead.
19. Governing Law and Disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. For any dispute not subject to arbitration under Section 18 (including if you opt out), you and TigerPoint agree that it will be handled in the courts located in New York, and you consent to their jurisdiction.
20. Order of Precedence
These Terms, the Acceptable Use Policy, the Refund Policy, and the Privacy Policy together form your agreement with us. If they conflict, the following order controls, from highest to lowest:
- These Terms of Service, except:
- The Acceptable Use Policy controls over these Terms on acceptable-use and fair-use matters;
- The Refund Policy controls on all questions of refunds; and
- The Privacy Policy controls on the handling of personal data.
21. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will give you reasonable notice (for example, by email or a notice in the Service). Changes take effect on the date we state, and your continued use after that date means you accept the updated Terms. If you do not agree, stop using the Service and cancel.
22. General
- Entire agreement. These Terms, together with the Refund Policy, Acceptable Use Policy, and Privacy Policy, are the entire agreement between you and us about the Service and replace any prior agreements on this subject.
- Severability. If any part of these Terms is found unenforceable, the rest stays in effect.
- No waiver. If we do not enforce a right, that is not a waiver of it.
- Assignment. You may not transfer these Terms without our consent. We may assign them to a successor (for example, in connection with a merger or sale of the business).
- Third-party services. The Service relies on third parties (for example, our infrastructure, payment, and email providers). We are not responsible for their acts, outages, or terms.
